BEFORE ACCESSING OR USING ANY PART OF THE www.proxifytechnologies.com WEBSITE (OR ANY SUCCESSOR OR AFFILIATED DOMAIN), YOU SHOULD READ CAREFULLY THE FOLLOWING TERMS AND CONDITIONS CONTAINED IN THIS TERMS OF SERVICE AGREEMENT (the "TOS"), AS THEY GOVERN YOUR ACCESS TO AND USE OF THE PROXIFY WEBSITE AND ANY PROGRAMS, SERVICES, TOOLS, MATERIALS, OR INFORMATION AVAILABLE THROUGH THE WEBSITE OR USED IN CONNECTION THEREWITH (COLLECTIVELY, THE "Website"). PROXIFY IS WILLING TO LICENSE AND ALLOW THE USE OF THIS WEBSITE ONLY ON THE CONDITION THAT YOU ACCEPT AND AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED IN THIS TOS. IF YOU DO NOT AGREE WITH THIS TOS, YOU ARE NOT GRANTED PERMISSION TO ACCESS OR OTHERWISE USE THE WEBSITE AND MUST EXIT IMMEDIATELY.
1. LICENSE GRANT
The Website is provided by Proxify. This TOS provides you a personal, revocable, limited, non-exclusive, royalty-free, non-transferable license to access and use the Website and any programs, services, tools, materials, or information made available through the Website, conditioned on your continued compliance with this TOS. This license permits use for lawful personal or business purposes only, on a single device, and solely via the Internet or an authorized network. You may temporarily load materials into RAM and print or download materials for internal use, provided all proprietary notices are preserved.
If you access the Website on behalf of an entity, that entity may be subject to a separate written agreement with Proxify governing access to Proxify’s software platforms, analytics, research, or advisory services. Your individual use remains subject to this TOS.

You may not copy, reproduce, distribute, sell, sublicense, reverse engineer, scrape, data-mine, or commercially exploit the Website or its content except as expressly permitted. You may not:

Internet communications are inherently insecure; Proxify does not guarantee confidentiality of transmissions. You are responsible for maintaining your systems, backups, and third-party software required to use the Website.

Any content, data, or information you provide to Proxify (“Postings”) grants Proxify a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use such content as necessary to operate, improve, and provide its services. You represent that you have all necessary rights and consents to provide such content.

Certain services, including subscription platforms, proxy research, analytics, voting tools, or advisory offerings, may be governed by separate agreements. In the event of conflict, such agreements control.

Authorized User access may require credentials. You are responsible for safeguarding credentials and all activity under your account. Proxify may modify or revoke credentials at its discretion.

8. FORUMS AND POSTINGS
If the Website includes interactive features, you agree not to post unlawful, defamatory, infringing, misleading, abusive, anti-competitive, or inappropriate content, nor malware or spam. Forums are public; do not post confidential information.
9. NO ENDORSEMENT OF POSTINGS
Proxify does not pre-screen or endorse user content but reserves the right to remove content that violates this TOS or applicable law.
10. PROPRIETARY RIGHTS

THE WEBSITE AND ALL CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PROXIFY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROXIFY DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROXIFY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PROXIFY IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. INDEMNIFICATION
You agree to indemnify and hold harmless Proxify and its affiliates from claims arising from your breach of this TOS or misuse of the Website.
16. SECURITY INCIDENTS
You must promptly notify Proxify of any security breach involving Proxify data and cooperate in remediation and compliance efforts.
17. GOVERNING LAW
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROXIFY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PROXIFY IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
18. ENFORCEMENT
Unauthorized use may result in civil or criminal liability. Proxify may monitor activity and suspend or terminate access at any time.
19. TERM AND TERMINATION
This TOS remains effective until terminated. Proxify may terminate access immediately for violation. Upon termination, all licenses cease.
20. MISCELLANEOUS
This TOS constitutes the entire agreement regarding Website use, is non-assignable without consent, and includes standard severability and equitable relief provisions. Headings are for convenience only.
